Welcome to 1031ExchangeRules.ai (the “Site”), an informational and lead-capture platform operated by EZ 1031 Exchange LLC (“EZ 1031,” “we,” “our,” or “us”). By accessing or using this Site, you (“you” or “User”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not use the Site.

1. Purpose of the Site

The Site provides educational content, self-service tools, and contact channels related to Section 1031 like-kind exchanges. The Site itself does not execute 1031 exchanges; Qualified Intermediary (“QI”) services are delivered only under a separate written agreement.

No Tax, Legal, or Investment Advice. All materials are for general information. You should consult your own attorney, CPA, and/or financial adviser before acting on any information here.

2. Eligibility & User Obligations

You must be at least 18 years old and capable of forming a binding contract.

You agree to provide accurate, complete information when submitting forms or questionnaires.

You will not:

Use the Site for unlawful, fraudulent, or abusive purposes.

Introduce malware, scrape data, or attempt to gain unauthorized access to any systems.

Misrepresent your identity or affiliation with any person or entity.

3. Intellectual Property

All content on the Site—including text, graphics, logos, videos, PDF guides, and software—is owned by or licensed to EZ 1031 and protected by U.S. and international intellectual-property laws. You receive a limited, non-exclusive, revocable license to access and use the Site for personal, non-commercial purposes. Any other use (copying, resale, derivative works, etc.) requires our prior written consent.

4. Third-Party Content & Links

The Site may reference or link to third-party websites, property listings, or calculators. EZ 1031 is not responsible for the accuracy, availability, or security of external content and disclaims all liability arising from your use of such resources.

5. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND—EXPRESS, IMPLIED, OR STATUTORY. EZ 1031 SPECIFICALLY DISCLAIMS (A) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; AND (C) ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZ 1031, ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

7. Indemnification

You agree to indemnify, defend, and hold harmless EZ 1031 and its affiliates from any claim, demand, or damage—including reasonable attorneys’ fees—arising out of (a) your breach of these Terms, (b) your misuse of the Site, or (c) your violation of any law or third-party right.

8. Arbitration & Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY. Any dispute arising out of or relating to these Terms or the Site shall be resolved by binding arbitration under the Consumer Arbitration Rules of the American Arbitration Association (“AAA”), rather than in court, except that you may assert claims in small-claims court if they qualify.

Location. Unless the parties agree otherwise, arbitration will occur in the U.S. county of your residence.

Individual Basis. You and EZ 1031 waive any right to bring claims as class actions or class arbitrations.

Opt-Out. If you do not wish to be bound by this clause, you must notify us in writing within 30 days of first using the Site.

This Section survives termination of these Terms.

9. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and safeguard your information. The Privacy Policy is incorporated into these Terms by reference.

10. Modifications to the Site or Terms

We may update the Site or these Terms at any time. Material changes become effective 30 days after posting. Your continued use of the Site after that date constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-law rules, and by applicable federal law.
